Terms of Service

These Terms of Service ("Terms") govern your use of Geolocarta's software, website, and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

2. Acceptance of Terms
By creating an account or using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree, you must stop using the Services.
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (e.g. email or in-app notice). Continued use after changes take effect means you accept the updated Terms.
3. Your account
- You must provide accurate and current information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity under your account.
- You must notify us of any unauthorised access.
We may suspend or restrict accounts where reasonably necessary to:
- protect the platform,
- investigate suspected misuse,
- comply with legal obligations.
4. Licence to use the Services
We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
You must not:
- reverse engineer or copy the software,
- resell or sublicense access without permission,
- interfere with system integrity or security,
- use the Services unlawfully.
5. Acceptable use
You must not use the Services in a way that:
- violates any law or regulation,
- infringes third-party rights,
- introduces malware or harmful code,
- disrupts or damages the platform.
We may suspend or terminate access where reasonably necessary to address breaches.
6. Customer responsibilities
You are responsible for:
- ensuring you hold any required licences (e.g. survey data licences),
- verifying outputs before relying on them,
- complying with applicable laws and professional obligations.
Geolocarta provides tools — not professional advice.
7. Fees and payments
- Fees are as stated at the time of purchase.
- Unless required by law, payments are non-refundable.
- We may suspend access for non-payment after reasonable notice.
8. Intellectual property
All intellectual property in the Services remains owned by Geolocarta or its licensors.
You retain ownership of your data, but grant us a limited licence to use it to:
- operate the Services,
- improve functionality,
- comply with legal obligations.
9. Data and third-party content
We do not guarantee the accuracy of third-party data. To the extent permitted by law, we are not responsible for errors in third-party content. However, nothing in these Terms excludes rights you may have under Australian Consumer Law.
10. Service availability
We aim to provide reliable access but do not guarantee uninterrupted service. We may:
- update or modify features,
- perform maintenance,
- discontinue parts of the Services with reasonable notice where practicable.
11. Warranties (ACL-compliant)
Nothing in these Terms excludes, restricts, or modifies rights you have under the Australian Consumer Law.
Where permitted by law:
- Services are provided "as is" and "as available".
- We do not guarantee that outputs are error-free or suitable for your specific use.
If a non-excludable guarantee applies, our liability is limited (at our option) to:
- resupplying the Services, or
- paying the cost of resupply.
12. Limitation of liability
To the extent permitted by law:
- We are not liable for indirect or consequential loss, including loss of profits, revenue, or data.
- Our total liability is capped at the fees paid by you in the 3 months prior to the event giving rise to the claim.
This does not apply to:
- rights under Australian Consumer Law,
- liability that cannot legally be excluded.
13. Indemnity
You agree to indemnify us for losses arising from:
- your breach of these Terms,
- your unlawful use of the Services,
- your infringement of third-party rights.
This applies to the extent your actions caused the loss.
14. Termination
You may stop using the Services at any time.
We may suspend or terminate access where reasonably necessary, including for:
- breach of these Terms,
- legal compliance,
- non-payment.
Where appropriate, we will provide notice and an opportunity to remedy.
15. Data access on termination
Upon termination:
- your access will be disabled,
- you may have a limited period to export your data (where technically feasible).
16. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
17. Dispute resolution
If a dispute arises:
- Both parties will attempt to resolve it in good faith.
- If unresolved, parties may proceed to mediation before litigation (unless urgent relief is required).
18. Governing law
These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of its courts.
19. General
- If part of these Terms is unenforceable, the rest remains valid.
- We may assign these Terms as part of a business transfer.
- These Terms represent the entire agreement.
